Terms of Use
1. Introduction
Section titled “1. Introduction”Welcome to FoxLeague, an on-chain football-management platform operated by Foxsy AI (“Foxsy”, “we”, “us”, “our”). These Terms of Use (“Terms”) form a binding agreement between you and Foxsy when you access or use our websites, apps, smart contracts or any related features (collectively, the “Services”).
By connecting a wallet, creating a team, joining a tournament or otherwise using the Services, you agree to these Terms and to any policies referenced here (including the Privacy Policy and any event-specific terms). If you do not agree, do not use the Services.
2. Who May Use the Services
Section titled “2. Who May Use the Services”Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
Jurisdiction. You may not use the Services if you are in a country or territory embargoed or otherwise restricted by applicable sanctions laws or if you are barred from using the Services under applicable law.
KYC / AML. We or our partners may require identity verification (KYC) to enter certain tournaments or to receive rewards, subject to AML / CFT obligations. Failure to complete KYC when required may result in disqualification or forfeiture of rewards.
Closed beta. FoxLeague is currently in closed beta. Access requires wallet whitelisting and may be revoked at any time during beta without notice. Beta access is not a permanent right.
3. Nature of the Service (Skill-Based, Non-Gambling)
Section titled “3. Nature of the Service (Skill-Based, Non-Gambling)”FoxLeague is an on-chain football-management game on MultiversX. You own football players as ESDT non-fungible tokens (“NFTs”), train their stats, set tactics and formations and play matches whose outcomes are determined by squad composition, the on-chain synced stats of your players, your formation and tactical choices plus the match-simulation rules disclosed in the manual.
Entry fees (where applicable) are paid in $FOXSY. Eligible winners receive rewards in $FOXSY. $FOXSY is a utility token used within the Foxsy AI ecosystem for tournament fees, training, syncing, marketplace transactions, fusion and other in-game actions. It does not represent equity, debt, revenue share or profit rights.
4. Wallets, Keys & On-Chain Activity
Section titled “4. Wallets, Keys & On-Chain Activity”Self-custody. You are solely responsible for the security of your wallet, private keys, seed phrase and device. We cannot recover or reverse on-chain transactions. Lost keys mean lost access to your players, $FOXSY and any pending rewards.
Supported network. FoxLeague currently runs on the MultiversX testnet. Mainnet support is planned. $FOXSY is an ESDT token; player NFTs are ESDT NFTs. Network outages, congestion or fee changes can affect your experience.
Gas coverage (Relayer V3). For users who onboard with a card, transaction gas is covered by the Foxsy Relayer V3 service for the duration of the onboarding flow. After onboarding, ordinary gas rules apply.
Smart contracts. Interactions with on-chain contracts are final. Ensure you are interacting with official contracts and interfaces published by Foxsy.
5. Tournaments, Fees, Prizes & Taxes
Section titled “5. Tournaments, Fees, Prizes & Taxes”Registration fee. The one-time team-creation fee is 5,000 $FOXSY, payable on first sign-up. It mints your starter squad of 18 player NFTs to your wallet.
Entry fees & prize pools. Some tournaments require entry fees in $FOXSY. Fees, prize distribution and the protocol fee (typically 5%) are disclosed per event before you join. A portion of certain fees may be burned per tokenomics.
Tournament snapshot lock. When you join a tournament, the participating players are locked into a snapshot. They cannot be listed for sale on the marketplace, used in other tournaments or freely substituted until the tournament ends or you are eliminated. Locked players appear with a lock indicator in your Squad view.
Eligibility & payouts. You must meet all eligibility criteria (including KYC where required). Payouts are made to the winning wallet on the supported network.
No refunds. Entry fees are generally non-refundable once a bracket or schedule is set, except where required by law or if an event is cancelled before play begins.
Taxes. You are responsible for any taxes arising from your participation or rewards.
6. Fair Play, Anti-Cheat & Multiple Accounts
Section titled “6. Fair Play, Anti-Cheat & Multiple Accounts”Prohibited conduct includes (without limitation): multi-accounting to manipulate ELO or leaderboards, collusion in 1v1 challenges or tournament brackets, abusing the daily faucet or testnet card-payment flow, exploiting bugs in marketplace listings, fusion, training, sync or match-result pipelines, plus use of automated tools, bots or scripts not expressly allowed by Foxsy. We may disqualify entries, void rewards, remove teams or suspend wallets for suspected cheating or policy violations.
A 24-hour transfer cooldown applies to NFTs received from another wallet. During the cooldown the receiving wallet cannot use those NFTs in tournaments or play matches with them, preventing rental-style abuse.
7. Content & Intellectual Property
Section titled “7. Content & Intellectual Property”Your content. Team names, custom player names, in-game messages and other content you submit remain yours, but you grant Foxsy AI a worldwide, non-exclusive, royalty-free license to host, run, reproduce, display, distribute and create derivative works for operating and improving the Services (including replays, highlights and screenshots).
AI-generated team badges. When you create a team, our system generates a unique badge image from your team name using an AI image model. You may use this badge freely in connection with your team on the platform; Foxsy retains the right to re-use generated badges for platform purposes (anti-duplicate detection, marketplace display, tournament-bracket visuals, marketing of the platform itself).
Our IP. The match simulator, viewer, tournament runner, smart-contract code, trademarks, logos and all related materials are owned or licensed by Foxsy AI. You may not copy, modify or create derivative works except as allowed by these Terms or event-specific licenses.
8. Third-Party Services
Section titled “8. Third-Party Services”The Services interact with third-party software you choose to install or connect, including (without limitation):
- MultiversX gateway, API and SDK
- Wallet providers: xPortal, MetaMask (via MultiversX snap), MultiversX DeFi Wallet, Ledger
- Regulated card on-ramp providers and swap aggregators on mainnet, plus simulated equivalents on testnet used to exercise the same flows
- Blockchain explorers and indexers
We are not responsible for third-party services. Your use of them is governed by their respective terms and privacy policies.
9. Risk Disclosures
Section titled “9. Risk Disclosures”Volatility & liquidity. $FOXSY is a utility token. Prices may fluctuate and liquidity can vary across venues. No value is promised.
Technical risks. Networks, smart contracts or services may experience downtime, bugs, exploits or upgrades that affect availability or functionality. Testnet state may be reset by network operators with limited notice.
Regulatory. Rules may evolve across jurisdictions and affect access to features or tokens.
10. Disclaimers; Limitation of Liability
Section titled “10. Disclaimers; Limitation of Liability”The Services are provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, Foxsy AI and its affiliates disclaim all implied warranties and shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages or any loss of profits, data or goodwill, even if advised of the possibility.
11. Suspension & Termination
Section titled “11. Suspension & Termination”We may suspend or terminate access for suspected policy violations, unlawful activity or to protect users or the ecosystem.
12. Changes to the Services or Terms
Section titled “12. Changes to the Services or Terms”We may modify the Services and these Terms. We will post the updated Terms with an updated “Last updated” date. Continued use constitutes acceptance of changes.
13. Governing Law & Dispute Resolution
Section titled “13. Governing Law & Dispute Resolution”Unless a specific tournament page states otherwise, these Terms are governed by the laws of the Cayman Islands. Disputes shall be resolved by confidential, individual arbitration under the Vienna International Arbitral Centre (VIAC) Rules, with one arbitrator. If arbitration is deemed unenforceable, the courts of the Cayman Islands shall have exclusive jurisdiction.
